Terms of Service

1. Services

Diazites builds and operates AI voice, text and workflow automation for businesses ("Services"). Scope, channels, minutes and integrations are defined in your order or service agreement.

2. Free demo and trials

Demo builds are provided free of charge for evaluation. A free trial period, when offered, begins on the activation date and does not require payment unless you continue after the trial. Trial scope and duration are stated on this site or in writing.

3. Fees and billing

Paid plans are billed monthly in advance. Third-party costs (telephony, message, AI model usage above included volumes, or advertising spend) may be passed through at cost with notice. Setup fees, where applicable, are one-time and stated before purchase.

4. Your responsibilities

You are responsible for the accuracy of the business information, prices, service areas, availability and scripts you approve.
You must comply with applicable telemarketing, texting, recording-consent and privacy laws (including TCPA where applicable). You confirm you have the right to contact the customers and lists you ask us to message.
You will not use the Services for unlawful, deceptive or harassing communications.

5. Our responsibilities

We will operate the Services with commercially reasonable care and skill, keep your credentials confidential, and provide reasonable notice of planned downtime. AI responses are generated automatically and may occasionally be imperfect; you may review recordings and transcripts and request script changes.

6. Intellectual property

You own your business content, customer data and scripts. We own the underlying platform, prompts, tooling and know-how. You receive a non-exclusive right to use the Services for your business while your agreement is active.

7. Term and termination

Monthly plans may be cancelled at any time; service continues until the end of the paid period. Either party may terminate for material breach not cured within 14 days of notice. We may suspend service for non-payment or unlawful use.

8. Limitation of liability

To the maximum extent permitted by law, our total liability arising from the Services is limited to the amounts you paid us in the three months preceding the claim. We are not liable for indirect, incidental or consequential damages, including lost profits or lost leads.

9. No guarantee of results

We do not guarantee a specific number of booked jobs, revenue, rankings or advertising results. Published examples are illustrative of configuration, not a promise of performance.

10. Governing law

These terms are governed by the laws of the State of Florida, USA, with venue in Miami-Dade County, unless your service agreement states otherwise.
